Terms of Engagement & Master Service Agreement
Effective date: September 30, 2026These Terms govern all design commissions, brand architecture consultations, and physical/digital deliverables rendered by Remi Graphic Studio to patrons and commercial enterprises worldwide.
All creative systems are authored and supervised directly by senior studio partners with strict quality assurance.
Clients receive exclusive, perpetual worldwide exploitation licenses for accepted final deliverables upon fiscal settlement.
Transparent milestone billings compliant with Estonian fiscal legislation and European Union reverse-charge directives.
1. Commission Engagement & Retainer Retainment
A binding design commission is formally initiated upon mutual execution of an official Statement of Work (SOW) and the receipt of an initial non-refundable project commencement retainer (typically 50% of the aggregate commission budget).
This retainer reserves dedicated studio capacity, production equipment, and partner hours exclusively for the designated client engagement timeline.
2. Iterative Phasing & Critique Cycles
Every commission proceeds through defined creative milestones (Strategic Discovery, Typographic & Visual Direction, System Expansion, and Final Asset Delivery).
Each milestone encompasses two (2) comprehensive review and critique iterations. Structural modifications or scope expansions requested beyond these parameters are billed at our standard studio hourly rate (€150/hr).
3. Intellectual Property Rights & Moral Authorship
Pursuant to the Estonian Copyright Act (Autoriõiguse seadus) and international Berne Convention treaties, author moral rights remain permanently vested in the studio.
Upon receipt of complete invoice settlement, the studio grants the client an exclusive, perpetual, worldwide economic exploitation license for the accepted final brand assets across all print and digital mediums.
Preliminary exploratory concepts, sketches, and rejected drafts remain the unencumbered proprietary property of Remi Graphic Studio.
4. Payment Terms, Invoicing & VAT 24%
All invoices are issued in Euros (EUR) and are due net 14 calendar days from the invoice issuance date.
Pursuant to the Estonian Value Added Tax Act, the standard VAT rate of 24% applies to all domestic transactions. Valid EU cross-border B2B transactions qualify for 0% VAT reverse charge upon verification of a valid VIES identifier.
Late remittances incur statutory interest at the rate of 0.05% per day pursuant to the Law of Obligations Act (Võlaõigusseadus).
5. Confidentiality & Public Attribution
Both parties mutually pledge strict confidentiality regarding proprietary business metrics, strategic roadmaps, and trade secrets disclosed during the engagement.
Upon public commercial launch by the client, Remi Graphic Studio reserves the professional right to document, reproduce, and showcase the finished design deliverables within studio archives, monographs, awards submissions, and online portfolios.
6. Governing Law & Forum of Dispute
This Agreement and all non-contractual obligations arising out of it shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of Estonia.
Any disputes that cannot be settled through good-faith negotiation shall be submitted to the exclusive jurisdiction of the Tartu County Court (Tartu Maakohus) in Tartu, Estonia.
